Structuring and financing a transaction whether it is restructuring a group before a disposal or setting up the right acquisition structure involves many factors and accounting implications can have an important impact. This is becoming more of an issue as companies change their basis of accounting to International Financial Reporting Standards (IFRS). It is too simplistic to say that the accounting treatment dictates the tax treatment even though the intention behind much recent legislation has been to align the accounting and tax treatment. Nevertheless it is important to understand the accounting treatment in order to apply tax law correctly.
